Terms Governing Our eUdyam Registration Consultancy Services

1. Introduction and Acceptance of Terms

Welcome to eUdyam Sewa ("we", "us", "our", or "the Company"). eUdyam Sewa is a private B2B consultancy firm providing professional assistance services to businesses seeking Udyam / MSME registration and related advisory. These Terms and Conditions ("Terms") form a legally binding agreement between you ("Client", "Business Entity", or "you") and eUdyam Sewa, governing your use of our website and services.

By visiting our website, engaging our services, or making any payment, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please discontinue use of our website and services immediately.

These Terms are governed by the laws of India, including the Information Technology Act, 2000; the Indian Contract Act, 1872; and all applicable rules made thereunder.

2. About eUdyam Sewa

2.1 Identity

eUdyam Sewa is an independent private B2B consultancy firm. We operate exclusively in the domain of Udyam / MSME-related professional advisory and facilitation services for business clients.

2.2 Not a Government Body

eUdyam Sewa is a PRIVATE entity. We are not a government portal, government-authorized agency, or official registration body. We have no official ties to:

• The Government of India or any State Government
• Ministry of Micro, Small & Medium Enterprises (MoMSME)
• The official Udyam Registration Portal (udyamregistration.gov.in)
• Any government department, statutory body, or public authority

Clients must understand that Udyam Registration is available free of charge at the official government portal. eUdyam Sewa charges fees only for our private B2B consultancy and facilitation services.

3. Nature and Scope of B2B Services

eUdyam Sewa provides professional consultancy services exclusively to business entities (B2B). Our services include, but are not limited to:

• New Udyam Registration assistance for Micro, Small & Medium Enterprises
• Udyam Re-Registration and migration from Udyog Aadhaar
• Amendment and update of existing Udyam certificates
• Retrieval of Udyam Registration Number
• Udyam Certificate download and printing assistance
• Udyam Annexure certificate facilitation
• Cancellation of Udyam Registration
• MSME scheme advisory and eligibility consultation for businesses

3.1 B2B Service Context

All services offered by eUdyam Sewa are directed at business-to-business (B2B) engagements. Our clients are business owners, proprietors, partners, directors, and authorized representatives of business entities. We do not cater to individual consumer needs unrelated to business registration or MSME compliance.

3.2 Consultancy — Not Representation

eUdyam Sewa acts as a professional consultant and facilitator. We do not act as a legal representative, advocate, or official agent of any client before any government body. Our role is limited to advisory, documentation assistance, and application facilitation.

4. Service Fees, Payments, and Charges

4.1 Nature of Our Fees

All fees charged by eUdyam Sewa are exclusively for our private professional consultancy services. These are NOT government fees. Clients are informed that Udyam Registration is available at no cost on the official government portal. Our service fees cover:

• Expert review and verification of business documents
• Documentation preparation and application assistance
• End-to-end coordination and follow-up on your application
• Professional advisory on MSME eligibility and scheme benefits
• Dedicated client support throughout the process

4.2 Fee Structure

All applicable fees are displayed on our website at the time of engagement. Fees are subject to change without prior notice; the fee prevailing at the time of your payment is binding.

4.3 Payment Terms

Full payment is required upfront before any service is initiated. All payments must be made in Indian Rupees (INR) through the payment gateways available on our website. Applicable GST and taxes will be charged as per prevailing regulations.

4.4 Payment Security

All transactions are processed through industry-standard secure payment gateways. eUdyam Sewa does not store your complete card or banking credentials on our servers. We are not liable for any breach occurring at the payment gateway level, which is governed by the gateway provider's own security policies.

5. Cancellation and Refund Policy

5.1 Cancellation Before Processing

Cancellation requests submitted within 2 hours of payment, before work has commenced, may be eligible for a full refund. All cancellation requests must be submitted in writing to our support email.

5.2 Cancellation After Processing Has Begun

Once service processing has commenced, the following refund schedule applies:

No refund will be issued in the following cases:

• Application rejected due to incorrect, incomplete, or fraudulent information provided by the client
• Failure to provide required documents within the stipulated timeframe
• Change of mind after successful processing
• Delays due to government portal downtime, technical outages, or force majeure events
• Duplicate applications filed by the client

5.4 Refund Processing Time

Approved refunds will be credited to the original payment source within 7–10 business days. eUdyam Sewa reserves the right to deduct applicable transaction charges prior to refund processing.

6. Client Obligations and Representations

By engaging eUdyam Sewa's services, you represent and warrant that:

• You are duly authorized to represent the business entity on whose behalf services are sought.
• All information, documents, and data provided by you are true, accurate, complete, and current.
• You are legally competent to enter into this agreement under the Indian Contract Act, 1872.
• You will not use our services for any fraudulent, unlawful, or misleading purpose.
• You will promptly provide any additional documents or information requested by us.
• You understand that Udyam Registration is subject to government eligibility criteria and our services do not guarantee approval.
• Any delays arising from your failure to provide accurate or complete information shall be your responsibility and shall not be attributed to eUdyam Sewa.

7. Intellectual Property Ownership

7.1 Ownership

The eUdyam Sewa name, brand, website, and all associated content are the sole and exclusive property of eUdyam Sewa. This includes, without limitation:

• The trade name "eUdyam Sewa" and all associated logos, wordmarks, and brand identifiers
• All website content — text, graphics, UI/UX design, layout, icons, and images
• All underlying software, source code, algorithms, and databases
• All proprietary workflows, service processes, templates, and documentation
• All marketing materials and promotional content

7.2 Legal Protections

All intellectual property assets of eUdyam Sewa are protected under:

• The Copyright Act, 1957 — for all literary, artistic, and software works
• The Trade Marks Act, 1999 — for brand names, logos, and service marks
• The Information Technology Act, 2000 — for digital content and software
• All other applicable IP laws and international conventions to which India is a signatory

7.3 Limited License to Clients

eUdyam Sewa grants you a limited, revocable, non-exclusive, and non-transferable license to access and use our website solely for the purpose of availing our consultancy services. This license does not transfer any intellectual property rights to you.

7.4 Prohibited Uses

Without prior written consent from eUdyam Sewa, you shall NOT:

• Copy, reproduce, redistribute, or publish any content from our website or platform
• Use the "eUdyam Sewa" name, logo, or brand identity in any manner
• Create derivative works or modifications from any part of our platform
• Reverse engineer, decompile, or attempt to extract our source code
• Frame or mirror any part of our website on any other platform
• Use data mining, scraping, or automated tools on our platform
• Register any trademark, domain, or brand confusingly similar to "eUdyam Sewa"

7.5 IP Infringement Reporting

If you believe any content on our platform infringes your intellectual property rights, please write to us at legal@eudyamsewa.com with full details of the alleged infringement and supporting evidence. We will investigate all genuine complaints and respond within 15 business days.

8. Limitation of Liability

8.1 No Guarantee of Outcome

eUdyam Sewa does not guarantee the approval, issuance, or any specific outcome of any application filed on your behalf. All registrations are subject to the sole discretion of the relevant government authority and prevailing rules. Our scope is strictly limited to facilitation and advisory.

8.2 "As Is" Disclaimer

Our services are provided on an "as is" and "as available" basis. eUdyam Sewa makes no express or implied warranties regarding the suitability, accuracy, completeness, or timeliness of its services for any particular business purpose.

8.3 Exclusions of Liability

eUdyam Sewa, its directors, employees, consultants, and agents shall not be liable for any loss or damage arising from:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of business, revenue, contracts, profit, or goodwill
• Loss or corruption of data or information
• Delays caused by technical failures, server downtime, or government portal outages
• Errors or inaccuracies in government databases or records
• Decisions, delays, or policy changes of any government department or authority
• Rejection of any application by government authorities for any reason whatsoever
• Unauthorized third-party access to your data despite our security measures
• Interruption of services due to force majeure events

8.4 Monetary Cap on Liability

In all circumstances, eUdyam Sewa's maximum aggregate liability to any client shall not exceed the total service fee actually paid by that client for the specific service in question. This cap applies under all theories of law including contract, tort, or statute.

8.5 Mutual Acknowledgement

By engaging our services, you acknowledge that the liability limitations set out in this Section reflect a fair allocation of risk and are a fundamental part of the basis on which eUdyam Sewa offers its services at the stated fees.

9. Privacy and Data Handling

9.1 Data Collected

We collect business and personal information — including business name, owner details, Aadhaar number, PAN, GST details, address, and contact information — solely to provide our consultancy services.

9.2 Data Usage

Your data is used exclusively to process your application, communicate with you, and fulfil our service obligations. We do not sell, trade, or commercially exploit your data to third parties.

9.3 Data Sharing

Information may be shared with relevant government portals as required to process your application. It may also be shared with trusted technology or operational partners under strict confidentiality obligations.

9.4 Aadhaar Compliance

All Aadhaar-related data is handled strictly in compliance with the Aadhaar Act, 2016 and applicable UIDAI regulations. Aadhaar data is not retained beyond the period necessary for service delivery.

9.5 Data Security

We apply appropriate technical and organizational measures to protect your data. However, no internet-based system is completely immune to risks, and we cannot guarantee absolute security of data in transit.

10. Prohibited Activities

While using our website and services, you agree NOT to:

• Submit false, fraudulent, or misleading information
• Impersonate any person, entity, or business
• Attempt unauthorized access to our systems, databases, or servers
• Deploy bots, scripts, or automated tools to interact with our platform
• Engage in any activity that disrupts or degrades the functioning of our website

Violation of this Section may result in immediate service cancellation without refund and potential legal action under applicable Indian laws.

11. Service Timelines and Force Majeure

11.1 Estimated Timelines

We endeavour to process applications within 24–48 hours for standard services, as indicated on our website. These are estimates, not guarantees. Timelines may vary due to government portal availability, document completeness, or application volume.

11.2 Force Majeure

eUdyam Sewa shall not be liable for delays or failures caused by circumstances beyond our control — including government portal outages, natural disasters, internet disruptions, regulatory changes, or any other force majeure event.

12. Grievance Redressal

In compliance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, eUdyam Sewa has designated a Grievance Officer:

All grievances must be submitted in writing. We will acknowledge within 48 hours and resolve within 15 business days.

13. Conflict Resolution Procedures

eUdyam Sewa is committed to resolving all disputes fairly and efficiently. The following structured procedure shall apply:

13.1 Consumer Rights Preserved

Nothing in these Terms limits a client's right to approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.

13.2 Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to the arbitration clause above, both parties submit to the exclusive jurisdiction of the courts at [City], India.
